Please read these Terms of Service carefully before using our website, digital products, memberships, community spaces, resources, or any other services we provide.

These Terms of Service, together with our Privacy Policy, Refund Policy, Community Guidelines, and any product-specific, membership-specific, affiliate-specific, or reward-draw-specific terms, form the agreement between you and JamesPratt.com.

In these Terms, “JamesPratt.com”, “we”, “us”, and “our” means James Pratt trading as JamesPratt.com, unless another trading entity is stated at checkout or in a specific agreement.

James Pratt trades as JamesPratt.com and sells digital products, memberships, resources, and services online as a person in trade.

By accessing our website, creating an account, buying a product, joining a membership, using our community, downloading a resource, or participating in any member benefit, you agree to these Terms.

If you do not agree to these Terms, you must not use our website, products, memberships, resources, or community.

1. About JamesPratt.com

JamesPratt.com provides practical business, AI enablement, digital resource, education, community, and advisory services.

Our current products and services may include:

  • digital guides;

  • templates;

  • checklists;

  • workbooks;

  • prompt packs;

  • podcast-style resources;

  • practical learning resources;

  • digital memberships;

  • online community spaces;

  • member updates;

  • future Tracks or member spaces;

  • future affiliate or referral opportunities;

  • future milestone benefits;

  • future partner or member offers;

  • advisory services, including the Practical AI Snapshot and other services where available.

The Village is a growing digital membership. The Library is its practical resource collection, designed to provide practical starting points for business, work, study, systems, communication, marketing, safer AI use, and related mahi.

The Village membership is the product. Any rewards, give-back activities, community benefits, milestone benefits, affiliate opportunities, or future member offers are support layers and do not replace the main value of The Village membership.

2. Eligibility

You must be at least 18 years old to use our paid Services, create an account, join a membership, access our community, purchase digital products, or participate in any member benefits.

By using our Services, you confirm that you are at least 18 years old and have the legal capacity to enter into these Terms.

If you use our Services on behalf of a business, organisation, trust, company, charity, school, community group, or other entity, you confirm that you have authority to bind that entity to these Terms.

You are responsible for ensuring that your use of our Services is lawful in your country, state, region, or jurisdiction.

We may refuse, suspend, or cancel access to our Services where we reasonably believe a person is not eligible, has provided inaccurate information, has breached these Terms, or where providing access would create legal, safety, payment, compliance, or operational risk.

3. Accounts and Registration

You may need to create an account to access some products, memberships, resources, downloads, or community spaces.

You agree to provide accurate, complete, and current information when creating or updating your account. This may include your name, email address, billing details, country of residence, membership plan, and any other information reasonably needed to provide the Services.

You are responsible for keeping your login details secure.

You must not:

  • share your login details with another person;

  • allow another person to use your account;

  • impersonate another person or organisation;

  • create an account using false or misleading information;

  • use another person’s email address, identity, or payment method without permission;

  • access or attempt to access another member’s account.

If you become aware of unauthorised access to your account, you must contact us promptly.

We may suspend or close accounts that breach these Terms, create security risks, misuse resources, misuse community features, or interfere with other members.

4. Products, Services, and Memberships

We may offer both one-off digital products and recurring membership products.

One-off digital products may include individual guides, templates, checklists, workbooks, prompt packs, podcast-style resources, and other downloadable resources.

Membership products may include access to included resources, member-only areas, community spaces, updates, future Tracks, roadmap updates, and other member benefits where available.

Product descriptions, inclusions, formats, prices, and access terms are shown on the relevant product or membership page at the time of purchase.

We may update, replace, retire, improve, reformat, rename, or remove products and resources over time. We will make reasonable efforts to keep paid products and memberships available, but we do not guarantee permanent availability of any specific resource, format, category, page, feature, or community space.

5. The Village Membership

The Village Membership gives members access to The Library, a growing collection of practical resources.

Resources may include:

  • guides;

  • templates;

  • checklists;

  • workbooks;

  • prompt packs;

  • practical learning resources;

  • podcast-style resources;

  • business support materials;

  • safer AI use resources;

  • community updates;

  • roadmap information;

  • future member spaces or Tracks where available.

The Library is designed to help members plan, organise, communicate, manage money, market their work, improve systems, use AI more safely, and build practical options over time.

Membership does not guarantee:

  • income;

  • business results;

  • funding;

  • customers;

  • job outcomes;

  • prize outcomes;

  • affiliate income;

  • sales;

  • specific personal, professional, legal, financial, tax, health, governance, or technical outcomes.

You are responsible for deciding how to use the resources in your own context.

6. New Zealand and Global Membership Plans

To support clear membership access and reward eligibility, we may offer different membership plans, including:

  • The Village | New Zealand Founding Member

  • The Village | Global Founding Member

These plans may provide similar Village access but differ in reward-draw eligibility and location-based member benefits.

The Village | New Zealand Founding Member plan is intended for New Zealand residents aged 18 or over.

The Village | Global Founding Member plan is intended for members outside New Zealand.

Global members receive access to The Village, including The Library and applicable global member benefits, but they are not eligible to enter NZ-only cash reward draws.

Global members are paying for access to The Village and any applicable global member benefits. Global members are not paying for entry into NZ-only cash reward draws and are not eligible to enter those draws.

The membership price is for access to The Village. It is not a ticket, wager, gambling stake, or payment for a reward draw.

Selecting or purchasing the New Zealand Founding Member plan does not automatically guarantee reward-draw eligibility. You must meet the applicable reward-draw terms at the relevant time.

We may require verification of age, residence, identity, membership status, payment status, or other eligibility information before awarding any reward or prize.

If we reasonably believe a member has selected the wrong plan, provided inaccurate location information, or attempted to access a reward they are not eligible for, we may move the member to the correct plan, remove them from a draw, withhold a reward, request verification, suspend access, or cancel the account.

7. Founding Membership and Pricing

Founding Membership is a launch-period membership offer.

Unless stated otherwise on the membership page, Founding Membership is available to the first 500 paid members across the applicable Founding Membership plans.

Founding Monthly Membership is currently advertised at NZ$9.95 per month.

Founding Annual Membership is currently advertised at NZ$99.50 per year, giving 12 months of access for the price of 10 months at the Founding Monthly rate.

After the first 500 paid members, Standard Membership is expected to be NZ$19.95 per month, unless changed before launch or stated otherwise.

Founding Membership is an early launch offer for the first 500 paid members. The Founding rate is lower than the Standard Membership rate because Founding Members join while The Village is still being built and expanded.

After the Founding Member allocation is filled, Standard Membership pricing may apply to new members.

Founding Member rates are intended to stay locked while your paid membership remains active and in good standing.

If you cancel, fail to pay, allow your subscription to lapse, breach these Terms, or rejoin later, the current membership price may apply.

Membership prices represent the price for access to The Village, including The Library and applicable membership features. Prices are not increased or inflated to fund reward draws. Any reward draws or member benefits are support layers and do not replace The Village membership as the product.

The Standard Membership price is intended to represent the usual retail price for ongoing access to The Village once the Founding Member period has ended.

We may change future pricing, plan names, inclusions, taxes, payment methods, or membership structures. Any changes will be handled in accordance with these Terms and applicable law.

8. New Resources and Roadmap

The Library is intended to grow over time.

We aim to add new resources weekly.

During launch, we may aim to add a higher number of resources each week, but the exact number, topic, format, timing, and category of new resources may vary.

Roadmap information is provided to help members understand what is live, what is being prepared, and what may come later.

Roadmap items are not guaranteed unless clearly stated as confirmed.

We may use words such as “planned”, “being prepared”, “being considered”, “may”, “future”, or “roadmap” to describe items that are not yet final.

Member suggestions may help shape future resources, but we do not guarantee that any suggestion will be built, published, prioritised, or accepted.

9. Digital Product and Resource Use

When you purchase or access a digital product or membership resource, we grant you a limited, non-exclusive, non-transferable, non-sublicensable licence to use that resource for your own practical use.

You may use the resources in your own:

  • business;

  • work;

  • study;

  • planning;

  • admin;

  • marketing;

  • systems;

  • communication;

  • internal processes;

  • client support, where appropriate and safe.

Unless we give written permission, you must not:

  • resell the resources;

  • redistribute the resources;

  • share raw files with non-members;

  • upload resources to public file-sharing sites;

  • rebrand resources as your own;

  • sublicense resources;

  • sell the resources as templates, packs, courses, memberships, downloads, or products;

  • claim ownership of JamesPratt.com resources;

  • use the resources as PLR, white-label, resale, or master-resale-rights products;

  • copy or scrape The Library to build a competing product, library, membership, or resource database.

You may adapt ideas and outputs for your own practical use, but you may not package or sell our raw files or substantially similar copies as your own resource library.

10. AI, Templates, and Educational Information

Our resources may include AI-related guidance, prompts, examples, frameworks, templates, checklists, and practical suggestions.

These are provided for general educational and practical information.

They are not legal, financial, tax, medical, mental health, employment, investment, regulatory, governance, technical, cybersecurity, or professional advice.

You are responsible for checking whether a resource is suitable for your situation.

You should seek qualified professional advice where needed.

AI tools can produce inaccurate, incomplete, biased, unsafe, outdated, or misleading outputs. You are responsible for checking AI outputs before using them.

Do not upload confidential, client-identifying, private, staff, financial, health, culturally protected, WHĀKĀ-6, governance-sensitive, legally privileged, or other sensitive information into AI tools unless you have appropriate authority, safeguards, and a safe environment.

If something requires sensitive detail, it needs a safer space.

11. Community Access and Conduct

Some memberships may include access to online community spaces.

The community is intended to help members:

  • find useful resources;

  • see what is new;

  • ask simple questions;

  • suggest future resources;

  • understand the roadmap;

  • build momentum;

  • participate at their own pace.

The community is not intended to be a large social network or unlimited consulting space.

You agree to keep community participation respectful, lawful, practical, and safe.

You must not post:

  • confidential information;

  • client-identifying information;

  • private staff information;

  • sensitive financial information;

  • health or family details;

  • passwords or access credentials;

  • culturally protected information;

  • WHĀKĀ-6 protected content;

  • governance-sensitive information;

  • legal or privileged information;

  • personal data about others without authority;

  • spam;

  • misleading claims;

  • unauthorised promotions;

  • harassment;

  • abusive, discriminatory, obscene, threatening, or defamatory content.

Please keep examples general.

If something needs sensitive detail, it needs a safer space.

We may remove posts, restrict posting, moderate discussions, close threads, edit space descriptions, suspend members, or remove community access where we reasonably believe it is necessary to protect members, comply with law, reduce risk, or keep the community useful.

12. Support Boundaries

Community spaces, comments, emails, and resource discussions are not unlimited consulting.

Membership support is limited to practical help with accessing, finding, and using The Library resources and community spaces.

We may answer light questions about finding, accessing, or using Library resources.

Advisory services, including the Practical AI Snapshot, consultations, implementation support, governance review, or one-to-one advice, are separate paid services unless expressly included in a specific membership plan or written offer.

We are not required to provide individualised legal, financial, tax, health, governance, technical, operational, marketing, AI, business, or consulting advice through membership support.

Where deeper support is needed, we may recommend a separate service, such as an Introductory Kōrero / Talanoa, Practical AI Snapshot, consultation, or other paid service where available.

13. User Content and Member Contributions

“User Content” means content you submit, post, upload, share, comment, suggest, or provide through the website, community, forms, comments, surveys, messages, or other Services.

You retain ownership of your User Content.

By submitting User Content, you give us a limited licence to host, display, store, reproduce, and use that content as reasonably necessary to operate the Services, provide the community, respond to support requests, maintain records, and improve The Library.

You confirm that you have the rights needed to submit your User Content and that it does not breach these Terms, infringe anyone’s rights, or break any law.

We will not use your name, story, screenshot, testimonial, case study, or identifiable member example in external marketing without appropriate permission.

Suggestions, feedback, requests, or ideas you provide may be used to improve, create, or prioritise resources, products, services, categories, community spaces, or features. We are not required to compensate you for general suggestions or feedback unless we have a separate written agreement.

14. Payments, Billing, Currency, and Taxes

Prices are shown in New Zealand dollars (NZD) unless stated otherwise.

Payment is processed by third-party payment processors and platform providers. Your use of those payment services may also be subject to their terms, privacy policies, fees, and processing rules.

By purchasing a product or membership, you authorise us and our payment processor to charge your selected payment method for the amount shown at checkout, including any applicable taxes, fees, or recurring subscription payments.

If you pay from outside New Zealand, your bank, card provider, or payment provider may apply currency conversion, foreign transaction fees, exchange-rate differences, or other charges. We are not responsible for those fees or exchange-rate differences.

Tax treatment may change over time, including if we become GST registered or if overseas tax rules apply. We may update pricing, tax display, invoices, or payment handling as required by law or platform settings.

You are responsible for any taxes, duties, or reporting obligations that apply to you, except where we are legally required to collect or remit them.

15. Subscriptions, Renewal, Cancellation, and Access

Memberships may be offered monthly, annually, or on another subscription basis.

By joining a subscription membership, you authorise recurring payments until you cancel, your payment fails, your plan ends, or your access is otherwise terminated under these Terms.

Monthly members can cancel anytime.

Cancellation stops future renewals. It does not automatically refund previous payments.

Annual members can cancel renewal at any time and, unless access is suspended or terminated under these Terms, may continue to access the membership until the end of the paid annual term.

If your payment fails, your membership access may be paused, restricted, or cancelled.

If you cancel and rejoin later, the current membership price, plan, terms, and availability may apply.

We may change, rename, restructure, or retire membership plans over time, provided we do so in a way that is consistent with applicable law and any specific commitments we have made to current paid members.

16. Refunds and Consumer Rights

Because our products and memberships involve digital access, downloadable resources, and immediate access to member content, previous payments are not automatically refunded for change of mind.

This does not limit any rights you may have under New Zealand consumer law.

If a digital product or service does not meet applicable consumer guarantees, you may have rights to a remedy under New Zealand consumer law.

Any refund offer, money-back guarantee, or refund window will apply only as stated on the relevant product page, checkout page, or Refund Policy.

If we offer a 7-day refund period for a specific product or membership, the refund may be subject to conditions, including whether the resource has been substantially accessed, downloaded, used, or consumed.

For digital products and digital memberships, “substantial access” may include downloading resources, accessing multiple member resources, consuming a significant portion of the available membership content, repeatedly accessing restricted materials, or otherwise receiving the main digital value of the product or membership.

Refund eligibility will be assessed in light of the product type, access provided, usage, the reason for the request, our Refund Policy, and any rights you may have under New Zealand consumer law.

Refund requests should be sent to refund@jamespratt.com or through the support process stated on the website.

We may refuse refunds where a person has misused resources, breached these Terms, accessed or downloaded substantial digital content, abused refund processes, or where no refund is required by law or our published refund policy.

17. NZ-Only Reward Draws and Member Benefits

We may offer NZ-only reward draws from time to time.

NZ-only reward draws are intended only for eligible New Zealand residents aged 18 or over who meet the applicable draw terms.

Global members are not eligible to enter NZ-only cash reward draws.

A reward draw is only active when specific NZ Reward Draw Terms have been published.

References to planned rewards, future rewards, roadmap rewards, give-back, reward tiers, or member benefits are not a guarantee that any specific draw, prize, reward, date, or benefit will be offered.

Specific reward draw terms may cover:

  • organiser name and address;

  • promotion period;

  • opening date;

  • closing or cut-off date;

  • draw date;

  • eligibility;

  • age and residency requirements;

  • active paid membership requirements;

  • prize value;

  • prize characteristics;

  • method of winner selection;

  • verification process;

  • winner notification;

  • redraw process;

  • prize delivery process;

  • privacy and record-keeping;

  • any other conditions that apply.

Where a NZ-only reward draw is active or promoted at the point of sale, the applicable NZ Reward Draw Terms must be available before purchase.

These terms should include the organiser, eligibility rules, promotion period, closing or cut-off date, draw date, prize value and characteristics, winner selection process, verification process, notification process, redraw process, prize delivery process, and any other conditions that apply.

Unless specific draw terms state otherwise:

  • one eligible active New Zealand member receives one entry;

  • no member receives extra draw entries for referrals, reviews, comments, shares, follows, testimonials, challenges, community activity, purchases of extra products, or other tasks;

  • entries are not transferable;

  • eligibility must be verified before a prize is awarded;

  • we may withhold a prize, redraw, or decline an entry if eligibility cannot be verified or these Terms are breached.

Where a NZ-only reward draw is run, prizes will be provided to verified eligible winners within 3 months after the draw, unless the winner cannot be identified, cannot be contacted, does not respond within the stated timeframe, does not wish to accept the prize, cannot verify eligibility, or cannot lawfully receive the prize.

If a selected winner cannot be contacted, does not respond within the stated timeframe, cannot verify eligibility, is found to be ineligible, has breached these Terms or the applicable draw terms, does not wish to accept the prize, or cannot lawfully receive the prize, we may withhold the prize and conduct a redraw in accordance with the applicable NZ Reward Draw Terms.

Total active paid membership, including New Zealand and Global members, may be used to determine roadmap milestones, planned reward tiers, Track unlocks, community milestones, or member benefit milestones where stated.

However, entry into NZ-only reward draws remains limited to eligible New Zealand residents aged 18 or over.

Rewards support member value. They do not replace The Village membership as the product.

We may change, pause, cancel, replace, or update planned reward structures before a promotion period begins.

We will not run a reward draw unless applicable terms are available and we believe the draw can be run lawfully and fairly.

18. Tracks, Milestones, Challenges, Partner Offers, and Future Benefits

The membership roadmap may include future Tracks, member spaces, challenges, milestones, partner offers, Member Deals, affiliate opportunities, events, workshops, or other benefits.

These features may be added, changed, paused, or removed over time.

Tracks are intended to be genuine member pathways with practical resources, topics, examples, posts, Q&A, or support around specific areas.

Milestone benefits may be individual or whole-membership based. Where a milestone benefit is guaranteed, the relevant condition must be clearly stated.

Challenges may be used for recognition, badges, member spotlights, showcases, or case study opportunities. Unless separate terms say otherwise, challenges are not cash-prize competitions and do not provide extra draw entries.

Partner offers and Member Deals, if introduced, may be subject to separate terms, eligibility criteria, provider conditions, expiry dates, and availability.

We are not responsible for third-party products or services offered by partners or members, except as required by law.

Future benefits are not guaranteed unless they are clearly offered under published terms.

19. Affiliate Programme

We may offer an Affiliate Programme in the future or from time to time.

Participation in any Affiliate Programme will be subject to separate Affiliate Programme Terms.

Affiliate participation may require approval.

Affiliate commissions, recurring commissions, lifetime-style commissions, tiers, payout thresholds, exclusions, refunds, chargebacks, tax reporting, and promotional rules will be governed by the Affiliate Programme Terms.

No affiliate activity gives extra entries into NZ-only reward draws.

Affiliates must not:

  • spam;

  • use scraped lists;

  • send unlawful unsolicited commercial messages;

  • make misleading claims;

  • make unsubstantiated income claims;

  • misrepresent reward eligibility;

  • say global members can enter NZ-only reward draws;

  • misuse JamesPratt.com branding;

  • promise business results;

  • imply employment, partnership, agency, or endorsement where none exists;

  • breach platform, advertising, email, privacy, or consumer laws.

If there is a conflict between these Terms and Affiliate Programme Terms, the Affiliate Programme Terms will apply to affiliate matters.

20. Ambassadors, Contributors, and Partners

We may work with ambassadors, contributors, partners, guests, service providers, or member-offer providers.

Any ambassador, contributor, partner, or provider arrangement may be subject to separate written terms.

Unless agreed in writing, no user, member, affiliate, partner, ambassador, or contributor has authority to bind JamesPratt.com, represent JamesPratt.com, make promises on our behalf, or act as our agent.

21. Intellectual Property

All JamesPratt.com content, resources, designs, text, frameworks, templates, prompts, videos, audio, downloads, graphics, branding, product names, community materials, and website content are owned by JamesPratt.com or used with permission.

Nothing in these Terms transfers ownership of our intellectual property to you.

You must not copy, reproduce, resell, redistribute, rebrand, sublicense, scrape, reverse engineer, or exploit JamesPratt.com content except as expressly allowed in these Terms or in writing.

You must not use JamesPratt.com branding, logos, names, screenshots, product images, or promotional materials in a way that is misleading, unlawful, unauthorised, or likely to confuse people about your relationship with us.

22. Third-Party Services

Our Services may rely on third-party platforms, tools, payment processors, hosting providers, community platforms, analytics tools, email systems, AI tools, or other services.

These may include website, payment, hosting, digital product, community, affiliate, referral, reward administration, or email providers.

We are not responsible for third-party services, outages, errors, fees, policies, data practices, platform decisions, or failures, except where required by law.

Your use of third-party services may be subject to their own terms and privacy policies.

We may change third-party providers over time.

23. Privacy and Personal Information

Your personal information is handled in accordance with our Privacy Policy.

We may collect and use personal information for purposes including:

  • providing products and memberships;

  • creating and managing accounts;

  • processing payments;

  • providing access to resources;

  • operating community spaces;

  • sending member updates;

  • responding to support requests;

  • administering reward eligibility;

  • verifying age, residency, identity, or membership status where needed;

  • administering refunds, cancellations, fraud checks, or disputes;

  • administering affiliate or referral programmes where applicable;

  • complying with legal obligations.

We may need to collect country or residency information to distinguish between New Zealand and Global membership plans and to administer NZ-only reward eligibility.

If you participate in community spaces, your name, profile information, posts, comments, or other community activity may be visible to other members depending on the community settings.

Do not post personal information about other people without permission.

We may share personal information with trusted third-party service providers where reasonably necessary to provide and administer the Services. These may include website and hosting providers, payment processors, email and communication platforms, analytics tools, community platforms, digital product platforms, customer support tools, fraud prevention tools, affiliate or referral tracking providers, reward administration providers, professional advisers, and other service providers who help us operate JamesPratt.com.

We only share information where there is a lawful purpose for doing so, where it is reasonably necessary for the relevant service or legal obligation, or where you have authorised the disclosure.

24. Suspension and Termination

We may suspend, restrict, or terminate your access to the website, products, memberships, resources, community, benefits, affiliate programme, or account if we reasonably believe that you have:

  • breached these Terms;

  • breached community rules;

  • misused resources;

  • shared access;

  • redistributed or resold resources;

  • provided inaccurate information;

  • attempted to access rewards you are not eligible for;

  • engaged in fraud, abuse, harassment, spam, scraping, or unlawful activity;

  • failed to pay;

  • created risk for other members, JamesPratt.com, or our providers.

We may suspend or terminate access before the end of a paid term if we reasonably believe a member has materially breached these Terms, misused resources, shared access, redistributed content, engaged in unlawful conduct, created safety or privacy risks, or otherwise caused material risk to JamesPratt.com, other members, or the Services.

Where practical and appropriate, we may give notice and an opportunity to fix the issue before termination. However, we may act immediately where we reasonably believe urgent action is needed to protect members, privacy, intellectual property, payment security, legal compliance, or platform safety.

If your membership is terminated for breach of these Terms, you may lose access to member resources, community spaces, benefits, and any pending rewards or affiliate payments, except where prohibited by law or separate terms.

Sections that by their nature should continue after termination will survive, including intellectual property, payment obligations, user conduct, disclaimers, limitation of liability, indemnity, privacy-related obligations, and governing law.

25. Disclaimers

To the extent permitted by law, our Services are provided on an “as is” and “as available” basis.

We do not guarantee that:

  • the website will always be available;

  • resources will be error-free;

  • AI-related content will be complete or current;

  • every resource will fit your situation;

  • a resource will produce a particular result;

  • you will earn income;

  • you will win or receive a reward;

  • you will receive affiliate income;

  • community participation will produce business results;

  • future roadmap items will be built;

  • every resource, space, feature, or benefit will remain available forever.

Nothing in these Terms limits rights that cannot legally be excluded under New Zealand consumer law.

26. Limitation of Liability

Nothing in these Terms excludes, restricts, or modifies any right, remedy, guarantee, or protection that cannot lawfully be excluded, restricted, or modified under New Zealand law, including under the Consumer Guarantees Act 1993 or the Fair Trading Act 1986.

To the maximum extent permitted by law, JamesPratt.com will not be liable for indirect, incidental, special, consequential, punitive, or exemplary loss or damage, including loss of profits, revenue, business opportunities, goodwill, data, or savings.

To the maximum extent permitted by law, and only where it is fair and lawful to apply such a limit, our total liability for any claim relating to a paid product or membership will be limited to the amount you paid for the relevant product or membership during the three months before the event giving rise to the claim, or NZ$100, whichever is greater.

This limitation does not apply where liability cannot legally be limited or excluded.

This obligation continues after your use of the Services ends.

If you access the Services from outside New Zealand, you are responsible for complying with any laws that apply in your location.
